These Terms of Use (“Terms”) govern your access and use of the applications, websites, software, products, and services provided by Ayesu Industries, Limited Liability Company (“Ayesu Industries,” “we,” “us,” or “our”).
These Terms apply generally to Ayesu Industries applications, websites, products, and services that link to or reference these Terms. However, certain applications or services may have additional terms that apply to specific features or functionalities.
By accessing or using our products or services, you agree to these Terms. If you do not agree to these Terms, you should refrain from using the applicable product or service.
Our Products and Services:
Our Products and ServicesAyesu Industries develops and provides software applications, websites, digital products, and related services.
Features and functionality may vary depending on the application, device, platform, country, and version.
We reserve the right to add, modify, update, suspend, or discontinue features or services from time to time, subject to applicable law.
Some features may require an internet connection, compatible device, operating system, third-party service, account, subscription, or other technical requirement.
Eligibility:
You may use our products and services only if you are legally permitted to do so under applicable law.
If you are under the legal age to enter into a binding agreement in your jurisdiction, your parent or legal guardian must review and agree to these Terms on your behalf where required by law.If you use our products or services on behalf of a company, organization, or other entity, you represent that you have the authority to accept these Terms on behalf of that entity.
License to Use Our Applications:
Subject to your compliance with these Terms, Ayesu Industries grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use our applications and services for their intended purposes.
This license does not transfer ownership of our applications, software, intellectual property, or services to you.
Your use of applications downloaded through a third-party platform may also be subject to the applicable platform’s terms and license requirements.
User Content:
Some Ayesu Industries applications may allow you to create, import, upload, store, organize, modify, process, or otherwise use content.“User Content” may include text, documents, files, images, media, URLs, data, prompts, or other materials you provide through our products or services.
You retain your applicable ownership rights in your User Content.
Ayesu Industries does not claim ownership of your User Content merely because you use it with one of our applications.
You grant Ayesu Industries and its service providers only the rights reasonably necessary to process User Content for the purpose of providing functionality you request, operating the applicable service, maintaining security, and fulfilling our obligations under these Terms.
You represent that you have all rights, licenses, permissions, and authority necessary to use any User Content you provide through our services.
Responsibility for User Content:
You are responsible for the User Content you create, import, upload, submit, or process through our products and services.
You may not use our products or services to process or distribute content in a manner that violates applicable law or infringes the intellectual property, privacy, publicity, contractual, or other rights of another person or entity.
Ayesu Industries is not responsible for determining whether you have the legal right to use content you choose to provide to an application.
Acceptable Use:
You agree to use Ayesu Industries products and services lawfully and for their intended purposes.
You may not:Use our products or services for unlawful, fraudulent, or abusive purposes.Attempt to gain unauthorized access to our systems, accounts, networks, or services.Interfere with or disrupt the operation, security, or integrity of our products or services.
Circumvent security features, technical restrictions, purchase requirements, or access controls.
Introduce malicious code, malware, viruses, or other harmful material.Use automated systems in a manner that places an unreasonable burden on our infrastructure.Misrepresent your identity or affiliation with another person or organization.Use our products to infringe the rights of another person or entity.Attempt to obtain another user’s confidential information without authorization.
Use our products or services in any manner prohibited by applicable law.We may restrict or terminate access to our products or services when reasonably necessary to protect users, Ayesu Industries, third parties, or the security and integrity of our services.
Artificial Intelligence and Machine-Learning Features:
Some Ayesu Industries applications may include features powered by artificial intelligence or machine-learning technologies.
AI-generated results may be inaccurate, incomplete, outdated, unexpected, or otherwise unsuitable for a particular purpose.You are responsible for reviewing and evaluating AI-generated output before relying upon or using it.
AI-generated output should not be treated as a substitute for qualified professional advice in fields such as medicine, law, finance, accounting, safety, or other areas where professional judgment is required.You are responsible for the prompts, content, instructions, and other information you submit to AI-powered features.
Certain AI functionality may rely on third-party technology providers. Your use of such functionality may involve processing by third-party services as described in our Privacy Policy and any applicable application-specific disclosures.
Purchases and Paid Features
Certain Ayesu Industries applications may offer paid functionality, one-time purchases, subscriptions, or other premium features.
Prices and availability are displayed through the applicable application, storefront, or purchasing platform before you complete a transaction.
Prices may vary by country, region, currency, tax requirements, storefront, or platform.
Unless otherwise stated, purchases made through a third-party platform are processed by that platform and are subject to its applicable purchasing, billing, refund, and payment terms.
Auto-Renewable Subscriptions:
Certain Ayesu Industries applications may offer auto-renewable subscriptions.The subscription period, price, and included features will be presented to you before purchase.If you purchase an auto-renewable subscription through Apple’s App Store, payment will be charged to your Apple Account according to Apple’s applicable purchasing terms.Unless canceled, an auto-renewable subscription may automatically renew for another subscription period according to the terms displayed at the time of purchase and the rules of the applicable storefront.
You can manage or cancel subscriptions purchased through Apple using the subscription-management functionality associated with your Apple Account.Deleting an Ayesu Industries application does not necessarily cancel an active subscription.
You are responsible for managing or canceling your subscription through the platform where you purchased it.
Subscription Changes
Ayesu Industries may change the features included in a paid plan or subscription from time to time, subject to applicable law and storefront requirements.Subscription prices may also change.
When required, price changes will be communicated or require your consent in accordance with the rules of the applicable purchasing platform and applicable law.Changes to pricing do not affect charges already properly incurred before the applicable change.
Free Trials, Promotional Offers, and Discounts:
Ayesu Industries may offer free trials, introductory offers, promotional pricing, discounts, offer codes, or other promotions from time to time.
These offers may have additional eligibility requirements, time limitations, or other conditions.Unless otherwise stated, promotional offers have no cash value and may not be transferred or combined with other offers.
If a free trial converts to a paid subscription, the applicable purchasing interface will provide information regarding the conversion and subscription terms.
Refunds:
Purchases made through Apple’s App Store are subject to Apple’s applicable refund policies and procedures.
Ayesu Industries generally does not directly process refunds for transactions processed by Apple or another third-party storefront.
If you believe you are entitled to a refund for a purchase processed by a third-party platform, you should submit your request through that platform’s applicable refund process.
Nothing in these Terms limits refund or consumer rights that cannot legally be waived.
Cloud Services and Synchronization:
Some Ayesu Industries applications may use cloud-based technologies to store or synchronize information between devices.
Cloud functionality may depend on third-party platforms such as Apple iCloud or CloudKit.
Availability and operation of these services may depend on your account settings, internet connection, device configuration, storage availability, third-party service availability, and other factors outside Ayesu Industries’ direct control.You are responsible for maintaining appropriate backups of important information where appropriate.
We do not guarantee that synchronization will always be uninterrupted, immediate, or error-free.
Third-Party ServicesOur products may integrate with or rely upon third-party services, platforms, websites, APIs, software, or infrastructure.
Third-party services are controlled by their respective providers and may be governed by separate terms and privacy policies.
Ayesu Industries does not control third-party services and cannot guarantee their availability, accuracy, security, functionality, or continued operation.
A third-party provider may change, restrict, suspend, or discontinue its service without our control.
Where practical, we may modify our applications in response to changes in third-party services.
Apple-Specific TermsIf you download or use an Ayesu Industries application through Apple’s App Store, you acknowledge that these Terms are between you and Ayesu Industries and not Apple, except to the extent otherwise required by Apple’s applicable terms.
Ayesu Industries, and not Apple, is responsible for the application and its content, subject to these Terms and applicable law.
Apple has no obligation to provide maintenance or support services for our applications except as otherwise required by applicable law or Apple’s policies.
Your use of an application obtained through Apple’s App Store must comply with Apple’s applicable terms and usage rules.
Apple and its subsidiaries may be third-party beneficiaries of provisions applicable to applications distributed through the App Store to the extent provided by Apple’s applicable terms.
Intellectual Property:
Ayesu Industries and its licensors retain all rights, title, and interest in and to our applications, websites, software, designs, graphics, interfaces, trademarks, logos, documentation, and other materials provided by Ayesu Industries, excluding User Content and third-party materials.These materials may be protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
Unless expressly permitted by these Terms or applicable law, you may not copy, reproduce, distribute, sell, license, modify, publicly display, or create derivative works from Ayesu Industries intellectual property without authorization.Nothing in these Terms grants you ownership of Ayesu Industries trademarks, branding, software, or other intellectual property.
Feedback:
If you voluntarily provide suggestions, ideas, comments, feedback, or recommendations concerning our products or services, you grant Ayesu Industries permission to use that feedback without restriction or compensation to you, subject to applicable law.
Providing feedback does not transfer ownership of your unrelated User Content to Ayesu Industries.
Updates and Changes to ApplicationsWe may provide updates, patches, bug fixes, improvements, or new versions of our applications.
Some updates may be necessary to maintain compatibility, security, functionality, or access to certain services.
Features may change between versions.We do not guarantee that every feature will remain available indefinitely or that an application will remain compatible with every device or operating-system version
Availability of Services
We strive to provide reliable products and services, but we do not guarantee continuous or uninterrupted availability.
Services may be temporarily unavailable because of:
- Maintenance
- Software updates
- Technical failures
- Network interruptions
- Third-party service outages
- Security incidents
- Events outside our reasonable control
Where appropriate, we may suspend access to a service to protect its security or integrity.
No Professional AdviceUnless expressly stated otherwise for a particular product, information provided through Ayesu Industries applications and services is intended for general informational, organizational, productivity, educational, or entertainment purposes.Our products do not constitute professional legal, medical, financial, accounting, tax, investment, or other regulated professional advice.You should consult an appropriately qualified professional when professional advice is required.
Disclaimers:
To the maximum extent permitted by applicable law, Ayesu Industries products and services are provided on an “as is” and “as available” basis.We do not guarantee that our products or services will always be uninterrupted, error-free, secure, or free from defects.
We do not guarantee the accuracy, completeness, reliability, availability, or suitability of information or results produced by our applications, including AI-generated results.Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, the exclusions in these Terms apply only to the extent permitted by law.
Nothing in these Terms excludes warranties, guarantees, or consumer rights that cannot legally be excluded.
Limitation of Liability:
To the maximum extent permitted by applicable law, Ayesu Industries and its owners, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of, or inability to use, our products or services.
This may include, where permitted by law, loss of data, loss of profits, loss of business opportunities, service interruptions, or other intangible losses.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.Your rights may vary depending on the jurisdiction in which you reside.
Indemnification:
To the extent permitted by applicable law, you agree to indemnify and hold harmless Ayesu Industries and its owners, officers, employees, contractors, and affiliates from claims, liabilities, damages, losses, and reasonable expenses arising from your unlawful use of our products or services, your violation of these Terms, or your infringement of another party’s rights.
This provision does not apply to the extent prohibited by applicable law.
Suspension and Termination:
You may stop using our products and services at any time.We may suspend or terminate access to a product or service when reasonably necessary because of:
- A material violation of these Terms
- Unlawful or fraudulent activity
- Security threats
- Abuse of our products or infrastructure
- Legal or regulatory requirements
- Discontinuation of a product or service
- Termination of access does not automatically cancel a subscription managed through a third-party storefront.
You remain responsible for managing subscriptions through the platform where they were purchased.
Provisions that by their nature should survive termination will remain effective after termination.
Privacy:
Our collection, use, storage, and handling of personal information are described in the Ayesu Industries Privacy Policy and, where applicable, application-specific privacy disclosures.
The Privacy Policy should be read together with these Terms.
Application-Specific TermsBecause Ayesu Industries develops multiple applications, individual applications may have features, functionality, requirements, or services that require additional terms.Where appropriate, an application may provide supplemental terms covering matters specific to that application.
Those supplemental terms should be read together with these Terms.
If application-specific terms conflict with these general Terms regarding a matter specifically addressed by the application-specific terms, the application-specific terms will control for that particular matter.
Changes to These Terms:
We may update these Terms periodically to reflect changes to our products, services, technologies, business practices, or legal requirements.
When these Terms are updated, we will revise the “Last Updated” date at the top of this page.Where required by applicable law, we may provide additional notice of material changes.
Your continued use of our products or services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.If you do not agree to updated Terms, you should discontinue use of the applicable products or services.
Governing Law:
These Terms are governed by the laws applicable to Ayesu Industries, without regard to conflict-of-law principles, except where the laws of your jurisdiction require otherwise.Nothing in these Terms limits any mandatory consumer protections or legal rights available to you under applicable law.
Severability:
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law or modified as necessary, while the remaining provisions will remain in effect.
No Waiver:
Ayesu Industries’ failure to enforce a provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.
Entire Agreement:
These Terms, together with our Privacy Policy and any applicable application-specific terms, constitute the agreement between you and Ayesu Industries regarding your use of the applicable products and services, except where additional agreements expressly apply.
